IMPORTANT NOTICE: PLEASE READ THESE TERMS OF USE CAREFULLY. BY COMPLETING THE REGISTRATION PROCESS, CREATING AN ACCOUNT, OR ACCESSING OR USING ANY OF THE PLATFORM AND/OR SERVICES, YOU REPRESENT THAT (1) YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THESE TERMS OF USE, (2) YOU ARE OF LEGAL AGE TO FORM A BINDING CONTRACT WITH EMERO, (3) THE INFORMATION YOU PROVIDED IN CONNECTION WITH YOUR REGISTRATION FOR THE PLATFORM/SERVICES IS TRUE, ACCURATE AND COMPLETE, AND (4) YOU HAVE THE AUTHORITY TO ENTER INTO THESE TERMS OF USE PERSONALLY OR ON BEHALF OF THE BUSINESS ENTITY YOU HAVE NAMED AS THE USER, AND TO BIND THAT BUSINESS ENTITY TO THE AGREEMENT.

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and 9523-9778 Quebec Inc., a corporation incorporated under the laws of Quebec, doing business as Emero ("Emero," "we," "us," or "our") governing your access to and use of the Emero platform, website, and services (collectively, the "Platform").

Once accepted, these Terms, in combination with our Privacy Policy, Data Processing Agreement (where applicable), and any other applicable policies (collectively the "Agreement"), become a binding legal commitment between you (or the business entity that you represent) and Emero.

Quebec Consumer Protection: If you are a consumer residing in Quebec, certain provisions of the Quebec Consumer Protection Act apply to this Agreement. These Terms comply with all requirements of Quebec law, including provisions regarding dispute resolution.

1. Use of Platform

1.1. Acceptance and Eligibility

By accessing or using the Emero services, you explicitly agree to be bound by these Terms. You must be at least 18 years old to use the Platform. By accepting these Terms, creating a Platform Account, or using the Platform, you represent that you are at least 18 years old and have the legal capacity to enter into contracts.

1.2. Platform Account Ownership

Your use of the Platform is conditioned on your provision of complete, current, and accurate information when registering for a Platform Account. The Platform is intended for business use or in connection with an individual's trade, craft, or profession. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

1.3. Language of Contract

In accordance with Quebec law, these Terms are available in both English and French. You acknowledge that you have requested that these Terms and all related documents be drawn up in English. 2. Description of Services and Permitted Use

Emero is an AI creative studio. The Platform lets you generate images, video, music, and speech using leading third-party AI models, refine and edit that content, and organize it in one place. Generations are billed at cost — the exact price charged by the underlying model provider, with no markup — and Emero applies pro-level prompting rules so those models produce better results. You can drive Emero directly in the app, or connect a third-party AI assistant (such as Claude or ChatGPT) through our connector so that it can generate and manage creations on your behalf using your Emero account. The service is intended for business and commercial use. You are prohibited from using the Platform for any other purpose without our express prior written consent.

Emero does NOT scrape, crawl, or collect data through any unauthorized means from any website or platform.We access AI model providers exclusively through official, authorized APIs that require proper authentication. All data access is conducted in full compliance with the applicable providers' terms of service and privacy policies.

2.1. User Accounts and Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You are required to provide accurate, current, and complete information during registration and to keep this information updated.

3. Intellectual Property Rights

Emero's Intellectual Property

Emero explicitly retains all ownership rights to its platform, software, content, trademarks, logos, and any derivative works created from them. Users are granted a limited, non-exclusive, non-transferable license to use the service solely for its intended purpose.

Your Content

You retain all ownership of the content you upload to, or create with, the Platform — your prompts, reference material, brand assets, and the media you generate. You grant Emero only the limited license needed to operate the service for you: to host, store, process, transmit, and display your content so we can provide the Platform and deliver your creations, including routing your prompts and reference material to the third-party AI models you choose. This license is non-exclusive, worldwide, and royalty-free, and it exists solely to run the service; it ends when you delete the content or your account, except for backups purged on our normal retention schedule. We do not use your content, prompts, brand information, or generations to train any AI model, and we never use one customer's content to benefit another.

Ownership and Use of Generated Output

Subject to your compliance with this Agreement and your payment of all applicable fees, Emero claims no ownership of, and imposes no additional licensing requirements, royalties, or usage restrictions on, the images, video, audio, and other media you generate through the Platform (the "Generated Output"). As between you and Emero, you own all right, title, and interest in and to your Generated Output, and you are free to reproduce, publish, distribute, and otherwise exploit it, including for commercial purposes such as organic social posts and paid advertising. To the extent Emero holds any rights in the Generated Output, it grants them to you on a worldwide, perpetual, irrevocable, and royalty-free basis to give effect to your ownership.

This grant is provided to the maximum extent permitted by the terms of the underlying third-party model providers whose services Emero aggregates. Where a provider's terms impose conditions on output generated through their models, those conditions continue to apply to the corresponding Generated Output. You acknowledge that AI-generated material may not be eligible for certain intellectual property protections (including copyright) in some jurisdictions, and Emero makes no representation or warranty that your Generated Output is protectable, original, or non-infringing.

You are solely and fully responsible for any and all content you generate using the Platform and for how you use it, including ensuring that such content, and your use of it, complies with all applicable laws and with the terms of service, advertising policies, community guidelines, and other rules of every third-party platform on which you post or run that content. Emero does not pre-screen Generated Output and, to the maximum extent permitted by law, disclaims all liability arising from your content or its use. Nothing in this section limits the rights of Quebec consumers under the Quebec Consumer Protection Act.

3.1. Acceptable Use

Emero is a generative AI studio, so creating AI images, video, voice, and music is exactly what the Platform is for. What is prohibited is using it to deceive or harm real people, including:

  • Creating synthetic media (including face swaps, lip-sync, or voice cloning) of a real, identifiable person without their explicit consent
  • Impersonating a real individual or organization, or fabricating testimonials, reviews, or endorsements
  • Producing content intended to defraud, defame, harass, or spread disinformation
  • Generating sexual content depicting a real person without their consent, or any content that sexualizes minors
  • Publishing AI-generated or AI-modified content without the AI disclosure required by the destination platform or by law (see Section 3.2)

Consent and disclosure:If your content uses a real person's likeness or voice, you are responsible for holding their consent and any rights required, and for disclosing AI use wherever the destination platform or applicable law requires it.

Enforcement: Violations of this section may result in immediate suspension or termination of your account, legal action for damages caused to Emero or third parties, and forfeiture of any prepaid fees or credits.

3.2. AI Content Disclosure, Provenance & No-Tolerance Enforcement

Emero is an AI creative platform. Content you generate with our AI tools may carry content-provenance metadata (including C2PA / Content Credentials) and is subject to the AI-disclosure rules of every platform you publish to. Many platforms — and, increasingly, applicable law — require content where AI was used to generate, substantially modify, or composite visual or audio elements to carry an "AI-generated" / "Made with AI" disclosure, and some automatically detect AI content through C2PA metadata and their own detection systems. You are responsible for complying with all of them.

Your obligations. When you use Emero to create AI-generated or AI-modified content, you must:

  • Apply, and keep accurate, every AI-content label and disclosure required by the destination platform and by applicable law.
  • Preserve the content-provenance metadata (including C2PA / Content Credentials) attached to content produced by Emero's AI tools.
  • Ensure that what a viewer is told about the content — AI-generated versus human-made — is truthful.

Strictly prohibited — zero tolerance. You may not, directly or indirectly:

  • Publish or distribute AI-generated or AI-modified content you make with Emero (including AI "UGC" or synthetic creator-style content) without the AI disclosure required by the destination platform.
  • Remove, strip, alter, suppress, or obscure C2PA / Content Credentials or any other AI-provenance metadata from content generated by Emero.
  • Misrepresent AI-generated content you make with Emero as non-AI or human-made, or evade, defeat, or circumvent any platform's AI-detection, labeling, or disclosure mechanisms.

Consequence — permanent ban, no refund. Engaging in any of the above is a material breach of this Agreement. Emero will immediately and permanently terminate your account with no refund of any subscription fees, platform fees, credits, or prepaid amounts, and may report the conduct to affected platforms, which may independently restrict or disable your accounts there. This applies, without limitation, to anyone who uses our AI generators to build unlabeled AI UGC, or who strips AI provenance from generated content and presents that content as authentic. To the maximum extent permitted by law, these amounts are non-refundable in these circumstances; for Quebec consumers, the Quebec Consumer Protection Act continues to apply.

Emero provides the disclosure tools, labels, and provenance signals needed to comply, but you are solely responsiblefor accurate AI disclosure and for your content's compliance with every applicable platform policy and law. Emero does not endorse, and is not liable for, content you choose to misrepresent.

3.3. AI Assistance, Limitations, and Human Control

Emero uses AI to help you prompt models, generate, and refine content. Like all AI systems, this assistance is probabilistic and can make mistakes. It may occasionally misinterpret an instruction, run a step more than once, produce more outputs than intended (for example, generating two variations instead of one), or otherwise behave unpredictably. We build safeguards, guardrails, and review steps to reduce the frequency and impact of these errors as much as we reasonably can, but the possibility of error is inherent to the nature of AI, and Emero does not warrant that it will be error-free, uninterrupted, or that it will produce any particular result.

You control the decisions that matter. Generation costs are shown before you generate and are billed at cost against your balance. You initiate and confirm your generations and top-ups; Emero does not autonomously spend your balance beyond the generation you request. Where you connect a third-party assistant (such as Claude or ChatGPT) through our connector, generations it runs on your behalf use your Emero account and balance, and you remain responsible for that usage; you can set spending limits and disconnect the connector at any time.

You remain responsible for reviewing the AI's output before you approve or use it. To the maximum extent permitted by law, Emero disclaims liability for outcomes arising from AI-generated suggestions, drafts, or content that you review and choose to act on. Nothing in this section limits the rights of Quebec consumers under the Quebec Consumer Protection Act.

3.4. Connecting a Third-Party AI Assistant (Claude, ChatGPT)

Emero lets you connect a third-party AI assistant — such as Anthropic's Claude or OpenAI's ChatGPT — to your Emero account through our connector, so that the assistant can generate, search, and manage creations on your behalf. If you enable this:

  • Actions the connected assistant takes run on your Emero account and draw from your balance, and are treated as your own use of the Platform. You are responsible for them, including any generations, content, and costs they produce.
  • You are responsible for your relationship with, and the terms and policies of, the third-party assistant and its provider. Emero does not control that assistant and is not responsible for its behavior, availability, or outputs.
  • Through the connector, the assistant may access the creations, prompts, and account context needed to perform the tasks you ask of it. Only connect an assistant you trust with that access.
  • You can disconnect the assistant at any time from your Emero account settings, which revokes its access.

4. Disclaimers of Warranties

Emero's services are provided "as is" and "as available," without warranties of any kind, either express or implied, to the fullest extent permitted by law. This includes disclaiming implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

5. Limitation of Liability

Subject to applicable law, Emero's liability for any damages arising from the use or inability to use the service will be limited to the maximum extent permitted by law.

For Business Users:In no event shall Emero's total liability exceed the amount paid by you to Emero in the twelve (12) months prior to the event giving rise to the liability.

For Quebec Consumers:Nothing in these Terms excludes or limits Emero's liability for damages that cannot be excluded or limited under the Quebec Consumer Protection Act. Quebec consumers maintain all rights and recourses provided under Quebec law.

Important:Under Quebec law, clauses that attempt to exclude or limit a merchant's liability for its own fault or that of its representatives are prohibited in consumer contracts and are null and void.

6. Indemnification

Users agree to indemnify, defend, and hold harmless Emero and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with their use of the service, their user-generated content, or their breach of the Terms of Use.

7. Termination of Service

These Terms of Use outline the conditions under which either Emero or the user may terminate the agreement. Emero reserves the right to suspend or terminate user access for violations of the Terms, including prohibited conduct.

Termination by User: You may terminate your account at any time by contacting our support team. Upon termination, your right to use the service will immediately cease.

Termination by Emero: We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

8. Governing Law and Dispute Resolution

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Dispute Resolution for Business Users: For business users and non-consumer transactions, any dispute arising from these Terms may be resolved through binding arbitration in accordance with the rules of the ADR Institute of Canada. The arbitration shall be conducted in Montreal, Quebec, in the French or English language as chosen by the parties.

Dispute Resolution for Quebec Consumers: In accordance with the Quebec Consumer Protection Act, consumers have the right to bring any dispute before the Quebec courts. Pre-dispute arbitration clauses are prohibited for consumer contracts. However, after a dispute arises, consumers may voluntarily agree to arbitration if they choose.

Jurisdiction: For all disputes not subject to arbitration, the parties irrevocably submit to the exclusive jurisdiction of the courts of the Province of Quebec, District of Montreal.

Class Action Rights for Consumers: Quebec consumers retain their rights under the Quebec Consumer Protection Act, including the right to participate in class action lawsuits. Any provision attempting to waive these rights is null and void under Quebec law.

9. Payment Terms

9.1. Fees and Taxes

How pricing works: Your subscription is a flat $10/month platform fee. There is no bundled monthly generation allowance. Generations (images, video, music, and speech) are billed separately at cost — the exact price charged by the underlying third-party model provider, with no markup added by Emero — and drawn from your generation balance, which never expires. The price of each generation is shown before you create it. New users receive a $2 free trial credit, and a further $2 bonus credit when they subscribe; you can top up your balance at any time. Provider prices can change; when they do, the price shown in the Platform is updated accordingly.

All fees are quoted in US dollars (USD) and include all applicable taxes. For customers in Quebec, the advertised prices include Quebec Sales Tax (QST) and Goods and Services Tax (GST). For customers in other jurisdictions, local taxes may apply and will be calculated at checkout if required by law.

9.2. Payment Methods

We accept major credit cards and other payment methods as displayed on our platform. All payments are processed securely through our payment processors. You authorize us to charge your selected payment method for all fees due.

9.3. Cancellation and Refund Policy

Cancellation: You may cancel your subscription at any time from your account settings. Cancellation stops future billing cycles immediately; your access and remaining generation balance continue through the end of the current billing cycle, after which the subscription lapses. You can reactivate at any time before that date and pick up exactly where you left off.

Refund of your remaining balance: You can get your unused generation balance back at any time, with no time window and no penalty. Email hello@emero.studio from the email on your account and we will refund the remaining balance to your original payment method.

Generations are billed at cost and are consumed when used: Each image, video, music, or speech generation is billed at the exact provider price, with no markup, at the moment it is created. Once a generation has been produced, that portion of your balance has been spent, and only your remaining, unused balance is refundable. This applies to one-time top-ups as well.

Free trial: The free trial carries no charge, has no time limit, and requires no refund. We save a payment method on file, but you are only charged if and when you subscribe to a paid plan.

All other fees are non-refundable except as required by law. For Quebec consumers, refunds will be provided in accordance with the Quebec Consumer Protection Act where applicable, including during any applicable cooling-off period.

10. Definitions

  • "Platform" means any services, content, functionality, and software offered by Emero through its website or applications.
  • "Platform Account" means the account you created to access and use the Platform.
  • "Services" means the variety of features and integrations that Emero makes available on the Platform.
  • "User Contributions" means content or materials that you post, submit, upload, publish, display, or transmit on or through the Platform.
  • "Quebec Consumer" means a natural person residing in Quebec who uses the Platform for personal, family, or household purposes.

11. Communications and Notices

All notices to a party shall be in writing and shall be made via email or registered mail. Notices to Emero must be sent to:

12. Code of Conduct

Users must comply with all applicable laws and regulations when using the Platform. This includes, but is not limited to:

  • Compliance with Canada's Anti-Spam Legislation (CASL)
  • Respect for intellectual property rights
  • Compliance with privacy laws including Quebec's Act respecting the protection of personal information in the private sector
  • Adherence to advertising standards set by Ad Standards Canada
  • Compliance with the Competition Act of Canada

13. Additional Terms

13.1. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes at least 30 days in advance via email or through the platform. Your continued use of the service after such modifications constitutes acceptance of the updated Terms. For Quebec consumers, any changes that increase your obligations or reduce our obligations will only apply to future contracts.

13.2. Entire Agreement

These Terms of Use, together with our Privacy Policy and any other legal notices published by Emero on the platform, constitute the entire agreement between you and Emero concerning the use of the platform.

13.3. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. For Quebec consumers, any provision that is null under the Consumer Protection Act shall be severed without affecting the validity of the remaining provisions.

13.4. Assignment

Emero may assign its rights under these Terms at any time. You may not assign your rights under these Terms without Emero's prior written consent.

13.5. Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms which is due to acts of God, natural disasters, pandemic, war, terrorism, riots, labor disputes, or other unforeseeable causes that are beyond the reasonable control of such party.
